1. Acceptance of Terms

By accessing or using the ListFree Realty website (listfreeusa.com) and services, you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, please do not use our website or services. These Terms constitute a legally binding agreement between you and ListFree Realty, a licensed Florida real estate brokerage operated by George Vallejo, Principal Broker.

2. Description of Services

ListFree Realty provides real estate brokerage services in the State of Florida, including but not limited to:

• Free MLS (Multiple Listing Service) listing placement for residential properties
• Professional showing scheduling and coordination tools
• AI-powered phone agent for property inquiries and appointment scheduling
• Electronic signature (e-sign) services for real estate documents
• BROKER ASSIST Package for full contract-to-close management
• Online consultation booking with Broker George Vallejo
• Property photography tips and resources

3. Eligibility

You must be at least 18 years of age and legally capable of entering into binding contracts to use our services. By using our services, you represent and warrant that you meet these eligibility requirements. If you are using our services on behalf of a business entity, you represent that you have the authority to bind that entity to these Terms.

4. User Accounts and Registration

Certain features of our website may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You must notify us immediately of any unauthorized use of your account.

5. Property Listings

When you submit a property listing through our platform:

• You represent that you are the legal owner of the property or have authorization from the owner to list it
• You agree that all listing information you provide is accurate and complete to the best of your knowledge
• You understand that your listing will be submitted to the MLS and distributed to cooperating brokerages and real estate websites
• You are responsible for complying with all applicable real estate disclosure laws in the State of Florida
• ListFree Realty reserves the right to refuse or remove any listing that violates these Terms or applicable law

6. Fees and Payment

ListFree Realty offers free MLS listing services with no listing commission. Additional services may be available for a fee:

• Free MLS Listing: No charge for basic MLS listing placement
• BROKER ASSIST Package: $1,999 ($499 upfront + $1,500 at closing) for full contract-to-close management
• Other premium services as described on our website

All payments are processed securely through Stripe. By providing payment information, you authorize us to charge the applicable fees. Refund policies are outlined at the time of purchase for each service.

Note regarding buyer's agent compensation: If a buyer's agent is involved in the transaction, the seller is responsible for buyer's agent compensation as agreed upon in the listing agreement.

7. Communications and Messaging

By using our services, you may receive communications from us via email, phone, or SMS/text message. Transactional communications related to your account or active services (such as appointment confirmations and listing updates) are a necessary part of our service.

8. AI Phone Agent

ListFree Realty uses an AI-powered phone agent ("Ara") to handle incoming calls, answer property inquiries, and schedule appointments. By calling our phone number, you acknowledge that you may interact with an AI system. The AI agent may collect information you provide during the call, including your name, phone number, and property interests. This information is used solely for the purposes described in our Privacy Policy. You may request to speak with Broker George Vallejo directly at any time during the call.

9. Intellectual Property

All content on the ListFree Realty website, including text, graphics, logos, images, and software, is the property of ListFree Realty or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on our website without our prior written consent.

10. Limitation of Liability

To the fullest extent permitted by law, ListFree Realty and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim arising from these Terms or our services shall not exceed the amount you paid to us in the twelve (12) months preceding the claim. This limitation applies regardless of the theory of liability, whether based on contract, tort, negligence, strict liability, or otherwise.

11. Disclaimer of Warranties

Our website and services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that our website will be uninterrupted, error-free, or free of viruses or other harmful components. Real estate market information, property valuations, and savings estimates provided on our website are for informational purposes only and should not be relied upon as professional advice.

12. Indemnification

You agree to indemnify, defend, and hold harmless ListFree Realty and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with your use of our website or services, your violation of these Terms, or your violation of any rights of a third party.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in Miami-Dade County, Florida, in accordance with the rules of the American Arbitration Association. You agree to waive any right to a jury trial or to participate in a class action.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting on our website with a revised "Last updated" date. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.
